Terms of agreement

This Terms of Agreement is effective as of November 13, 2024.

These Terms of Agreement (hereinafter referred to as "Terms" or "Agreement") are entered into by and between you, the user ("User"), and Service Provider’s - Unavinar Media LTD company, registered at: Apostolou Andrea 2, Parekklisia, Limassol, 4520, Cyprus (hereinafter referred to as "Service Provider," "we," "us," or "our"). By accessing or using the Service Provider’s Website and its services (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Service.

1. Definitions.

- "Service Provider’s Website" - the official website owned and operated by the Service Provider, where users can access the Service. The link to this Website is: smartfairy.net.

- "Service" - the set of features, tools, and functionality provided by the Service Provider’s Website, including the ability to collect, analyze, and display data related to YouTube videos, channels, and user interactions, subject to the restrictions outlined in these Terms.

- "User" - any person or entity that accesses or uses the Service through the Service Provider’s Website.

- "YouTube" - a video-sharing platform where users can upload, view, and interact with videos. YouTube is the primary data source for the Service, and the Service interacts with YouTube’s API to access publicly available data about videos, channels, and user interactions on the platform. You can learn more about YouTube at youtube.com.

- "User Data" - any data that is generated, submitted, or collected by the User through their interaction with the Service, including but not limited to YouTube video data (e.g., views, likes, comments, metadata), personal account information, and any other content uploaded or provided by the User while using the Service. User Data may also include information derived from User activity, such as analytics or reports on YouTube performance.

2. Acceptance of Terms.

By using or accessing the Service Provider’s Website, you agree to comply with and be bound by these Terms, the Service Provider’s Privacy Policy, and any other policies or guidelines referenced herein. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Use of the Service.

3.1. Grant of License.

Subject to your compliance with these Terms, the Service Provider grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service through the Service Provider’s Website for personal, non-commercial purposes.

3.2. Restrictions.

You may not:

- Use the Service to violate or infringe upon the rights of others, including intellectual property rights, privacy rights, or any other rights of third parties.

- Scrape, crawl, or otherwise extract data from the Service Provider’s Website without prior written consent.

- Use the Service for any illegal, unlawful, or unethical purpose, or in a manner that violates YouTube’s Developer Policies and Terms.

- Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service or the Service Provider’s Website.

- Distribute, sublicense, or resell the Service or any part thereof.

3.3. YouTube API Use.

In using the Service, you acknowledge that it interacts with YouTube’s API Services. You must comply with the YouTube API Services - Developer Policies at https://developers.google.com/youtube/terms/developer-policies including but not limited to:

- Not using YouTube data in ways that violate YouTube’s Terms of Service or any other applicable policies.

- Not using YouTube data to track or collect personal information about users or content creators without their consent.

- Complying with YouTube’s guidelines for accessing and displaying data via the YouTube API.

4. User Data.

4.1. User Responsibilities.

By submitting or uploading information indicating that a YouTube channel is owned or controlled by the User, the User represents and warrants, to the best of their knowledge and belief, that they possess the necessary rights, titles, or interests in such channel, and that they have not intentionally misrepresented or falsified any claim regarding ownership or control of the channel. The User agrees not to engage in any act that could mislead or deceive regarding the ownership or affiliation with the channel, while acknowledging that the Service does not independently verify such claims.

4.2. Privacy.

The Service Provider respects your privacy and will handle your personal information in accordance with the Service Provider ‘s Privacy Policy. You agree to the collection, use, and processing of your personal data as described therein.

5. Prohibited Activities.

You agree not to use the Service for any purpose that:

- Violates any law, regulation, or third-party right (including intellectual property rights and privacy rights).

- Attempts to hack, access, or use the Service or any related systems in an unauthorized manner.

- Harasses, defames, or threatens other users or third parties.

- Interferes with the normal operation of the Service or disrupts the Service Provider’s Website or related systems.

6. Termination.

The Service Provider may, at its sole discretion, suspend or terminate your access to the Service at any time, without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service will immediately cease.

7. Limitation of Liability.

The Service is provided "as is" and "as available," without any warranties, express or implied. The Service Provider does not warrant that the Service will be error-free, secure, or uninterrupted. The Service Provider is not responsible for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service, including but not limited to data loss, errors, or interruptions in service.

8. Indemnification.

You agree to indemnify and hold harmless the Service Provider, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

- Your use or misuse of the Service.

- Your violation of these Terms or the rights of third parties.

- Your violation of any applicable laws, regulations, or policies, including YouTube’s Developer Policies.

9. Changes to the Agreement.

The Service Provider reserves the right to modify, amend, or update these Terms at any time. Any changes will be posted on the Service Provider’s Website, and the effective date of the updated Terms will be indicated at the top of the page. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

10. Governing Law and Dispute Resolution.

These Terms will be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising out of or in connection with these Terms will be resolved through mediation and/or arbitration in Cypriot courts, unless otherwise agreed by the parties.
